By accessing or using VenueVendors ("Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

2. Platform Role and User Responsibilities

VenueVendors acts as a venue to connect individuals seeking event-related services ("Clients") with third-party service providers ("Vendors"). We are not a party to any agreements entered into between Clients and Vendors.

You acknowledge and agree that:

• User Interactions: You are solely responsible for your interactions with other users of the Platform, whether online or offline. We are not responsible or liable for the conduct of any user. We make no representations or warranties as to the conduct of users or their compatibility with any current or future users.
• Vendor Services: We do not endorse, guarantee, or control the quality, safety, legality, or suitability of services offered by Vendors. Any disputes regarding services must be resolved directly between the Client and the Vendor.
• Information Accuracy: We do not verify the accuracy of information provided by users (including Vendors' profiles, service descriptions, or reviews). You are responsible for conducting your own due diligence.
• User Content: You are solely responsible for any content (text, images, reviews, messages, etc.) you post, upload, or share on the Platform ("User Content"). You represent and warrant that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.
• Personal Information: You are responsible for any personal information you choose to share with other users. Exercise caution and good judgment.

3. Acceptable Use

You agree not to use the Platform to:

• Post any content that is unlawful, harmful, defamatory, obscene, abusive, threatening, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Violate any applicable local, state, national, or international law.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content from the Platform, suspending or terminating the account of such violators and reporting you to the law enforcement authorities.

4. Account Registration and Security

You may need to register for an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

5. Intellectual Property

The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of VenueVendors and its licensors.

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and our business.

6. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PLATFORM, OR AS TO THE ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION, CONTENT, SERVICE, OR MERCHANDISE PROVIDED THROUGH THE PLATFORM.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VENUEVENDORS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
